Bergbahnen Adelboden
2026 AGM pass and voucher, Summer and winter benefits from 2027
Bergbahnen Adelboden owns lifts and mountain restaurants above the Swiss resort of Adelboden, run by Bergbahnen Adelboden-Lenk AG, which it co-owns with the Lenk cooperative. It is raising capital for “Direttissima”, a planned cableway from Oey straight to Sillerenbühl. Its share-issue brochure says the new ride would take about 10 minutes.
What you get
Attending registered shareholders get a lift pass and restaurant voucher at the 21 November 2026 AGM. New holding tiers start on 1 January 2027; the winter shareholder-day date is still open. The board changed the benefits during its Direttissima capital raise and says it is bringing them closer to those of the Lenk cooperative. Buying shares may be difficult: OTC-X, the off-exchange market run by Swiss bank BEKB, has suspended trading at the company’s request. The issuer’s share-offer disclaimer generally limits new subscriptions to people in Switzerland and existing shareholders living in the EU; private transfers are a separate route.
2026 AGM pass and voucher
Offer announcedThe AGM starts at 09:30 on 21 November 2026 at Turnhalle Adelboden, Zelgstrasse 3. A new buyer may not be registered in time.
At the 2026 AGM, shareholders who attend receive a day pass and a Sillerenbühl restaurant voucher, both usable on the AGM day. The invitation gives no voucher amount or lift list for 2026.
From 2027: an AGM benefit at any holding
The invitation also sets out the later AGM benefit: from 2027, every shareholder who attends in person gets a CHF 20 Sillerenbühl voucher and a meeting-day pass for the Dorf- and Sillerenbahn. The February notice says this applies regardless of share count.
Summer and winter benefits from 2027
Offer announcedThe new tiers start on 1 January 2027. The winter 2026–27 shareholder-day date remains unannounced.
From 2027, 50 registered shares bring one transferable summer day pass. A 100-share holding adds a winter shareholder-day choice: a day pass and CHF 15 restaurant voucher, or a CHF 20 restaurant voucher without the pass. Below 50 shares, the notice lists only the benefit for attending the AGM. The board says “every share counts” and calls the change no devaluation of small holdings.
How often and how many?
The notice promises one summer pass at each stated tier. It does not say whether the pass arrives every year or whether a holding above 100 shares earns more than one.

Before buyingA perk is a minor benefit of owning a share, not a reason to buy one. Share prices fall as well as rise, and dealing costs, spreads and tax can exceed a perk’s value. Unlisted shares may be difficult to sell. Check how transfers work and whether your broker supports the holding. Read about the risks.
Holding through a broker
Shares must be registered in your own name.
2026 AGM pass and voucher
A shareholder must be on the company share register to attend, though a registered holder may send a proxy. The transfer form asks buyers to declare that they hold the shares for themselves rather than someone else; it also describes moving certificates to a bank account. The company does not say whether that leaves the client on its register. Ask the company and your broker before relying on a broker holding. We have not tested a route.
Summer and winter benefits from 2027
The same share-register rule applies to the 2027 benefits. Check the bank-custody question above before relying on a broker holding.
How to claim
2026 AGM pass and voucher
The company requires an entry in its share register for AGM attendance. Old bearer shares do not qualify. The invitation mentions a voting card for proxies but gives no admission-document rule or registration cutoff.
- 1. Confirm your entry before travellingAsk the shareholder office whether your shares are registered and whether you need an admission document. The articles allow up to three months for a transfer refusal notice, so a new buyer should check whether registration can finish before 21 November.
- 2. Go to the meetingGo to Turnhalle Adelboden, Zelgstrasse 3, by 09:30 on 21 November. Ask the company how to collect the pass and voucher; the invitation does not say whether a proxy receives them.

Practical notes
Summer and winter benefits from 2027
Subscription offer and private transfers
BEKB’s OTC-X page says trading is suspended at the company’s request, and the February brochure described no secondary market. The Direttissima project page still invites subscriptions and says that remains possible until “winter 2026”, without an exact closing date. Its linked October 2025 disclaimer generally limits public offers to people living or staying in Switzerland, plus existing shareholders living in the EU. The shareholder page describes private transfers from an existing holder; the public-offer disclaimer does not address those transfers.
What the price figures mean
The February brochure offered new shares at CHF 10 each, subject to board allocation. At that offer price, 50 shares would cost CHF 500 and 100 would cost CHF 1,000, if subscriptions remain open. The company gives a 2025 tax value of CHF 3.25 a share; OTC-X shows a last trade at CHF 4.50 on 8 October 2025. Neither figure is a current purchase price. Ask the shareholder office whether the offer remains open and when registration would finish.
Transfers need board approval
The board must approve a transfer of registered shares. The articles let it refuse a competitor, a transfer that could endanger the company’s independence or a buyer who will not declare an own-account purchase on request. It may also refuse without giving reasons if it offers to buy the shares at their fair value. A refusal may take up to three months to notify. For shares held by the company on a holder’s behalf, at home or in a bank safe, both parties sign the transfer and registration form; the seller adds ID, and any certificate goes with the form by registered post.
